Małecki Legal advised Stagwell Group on the implementation of the In-Pulse investment as part of a joint venture with Żabka Polska.
In-Pulse is a venture that introduces a breakthrough solution to the Polish market, combining advanced analytical technology with real shopping behavior data, offering marketers unique opportunities to make more accurate market decisions.
In-Pulse is the result of the synergy between two leaders - Stagwell, a global marketing giant, and Żabka, which is revolutionizing the convenience segment in Poland. With a network of over 11,800 stores and more than 10 million Żappka app users, Żabka is one of the most important players on the market, and its transactional data constitutes an extremely valuable source of information about Polish consumers. Combined with Stagwell’s advanced solutions, such as AI, SaaS, and econometric models, In-Pulse provides marketers with tools for precise campaign performance tracking and better understanding of their target audiences.
The scope of work performed by the Małecki Legal team for Stagwell Group included comprehensive legal support, including transaction structuring, advice on the negotiation of transaction and corporate documentation, regulatory matters, as well as support during the transaction closing.
The project team included Leszek Małecki (Partner), Iga Wojtczak-Opala (Senior Associate), and Tomasz Kiełczykowski (Junior Associate). We collaborated on the project with CMT (Paweł Łągwa, Daniel Cedro), who were responsible for financial advisory, as well as Biały Tax Lawyers in the area of tax advisory.
